1. Acceptance of Terms

These Terms of Service ("Terms") form a binding legal agreement between you and Realign Coaching, LLC ("Realign," "we," "us," or "our"). They govern your access to and use of our website at realigncoaching.org, our mobile applications, and all related services (collectively, the "Platform").

By creating an account, purchasing a coaching program, or otherwise using the Platform, you confirm that you are at least 18 years old, have read and understood these Terms, and agree to be bound by them. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, please do not access or use the Platform.

2. Description of Service

Realign provides a technology platform that connects individuals ("Clients") with independent professional career coaches ("Coaches"). Our services include, but are not limited to:

• Coach matching, discovery, and booking
• One-on-one career coaching sessions delivered via video, phone, or messaging
• Career assessment tools, resources, and content
• Session scheduling, session notes, and progress tracking tools
• Organizational coaching programs and enterprise engagements

Realign acts as a marketplace and platform provider. Coaches listed on the Platform are independent contractors, not employees of Realign, unless expressly stated otherwise. Realign curates, vets, and supports Coaches but does not direct the specific content of any individual coaching session.

3. Accounts & Registration

To access certain features of the Platform, you must create an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and accept responsibility for all activity under your account
• Promptly notify us of any unauthorized access or suspected breach at hello@realigncoaching.org
• Not share your credentials with any other person or allow others to access your account

We reserve the right to suspend or terminate accounts that provide inaccurate information, violate these Terms, or engage in conduct we determine to be harmful to other users, Coaches, or the Platform.

5. Payments & Refunds

All fees for coaching programs are displayed at the time of purchase and are charged in U.S. dollars unless otherwise stated. By completing a purchase, you authorize Realign (or its payment processor) to charge the applicable fee to your designated payment method.

Satisfaction Guarantee & Refund Policy

We stand behind the quality of every coaching engagement. If you are not satisfied with your first coaching session, you may request a full refund within 48 hours of that session. No questions asked.

To request a refund, contact us at hello@realigncoaching.org within the applicable window. Refunds are processed to your original payment method and may take 5–10 business days to appear depending on your financial institution.

Refunds are not available for sessions already completed beyond the 48-hour window, for no-shows without prior cancellation, or for program packages after more than one session has been conducted, except at Realign's sole discretion. Subscription or installment plans may have additional terms communicated at the time of purchase.

Applicable law may provide you with additional refund rights beyond those described here. Nothing in this section limits any statutory rights you may have.

6. Acceptable Use

You agree to use the Platform only for lawful purposes and in a way that does not infringe the rights of others. You must not:

• Harass, threaten, or abuse Coaches, other users, or Realign staff
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Submit false, misleading, or fraudulent information
• Use the Platform to solicit Coaches to conduct sessions outside the Platform in order to circumvent fees
• Attempt to reverse-engineer, scrape, or systematically download Platform content or data
• Upload or transmit malicious code, spam, or unsolicited commercial communications
• Use the Platform in any way that could disable, overburden, or impair its infrastructure
• Violate any applicable local, national, or international law or regulation

Realign reserves the right to investigate any suspected violation and to take appropriate action, including removal of content, suspension of accounts, or referral to law enforcement.

7. Intellectual Property

All content on the Platform — including text, graphics, logos, interface design, software, assessments, and course materials — is owned by or licensed to Realign and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from Platform content without our express prior written consent.

Your content. By submitting content to the Platform (such as profile information, uploaded documents, or messages), you grant Realign a non-exclusive, worldwide, royalty-free license to use, store, and display that content solely as necessary to operate and improve the Platform. You retain all ownership rights in your own content.

Feedback. Any suggestions, ideas, or feedback you provide about the Platform may be used by Realign without restriction or compensation.

8. Disclaimers

THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, REALIGN EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Realign does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any content on the Platform or the outcomes of any coaching engagement.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REALIGN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND COACHES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM OR SERVICES.

IN NO EVENT SHALL REALIGN'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO REALIGN IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.

10. Indemnification

You agree to defend, indemnify, and hold harmless Realign, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms, your use of the Platform, or your infringement of any third-party rights.

11. Governing Law & Dispute Resolution

12. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. When we make material changes, we will notify you by posting the updated Terms on this page with a revised effective date and, where appropriate, by sending an email to the address associated with your account.

Your continued use of the Platform after the effective date of any updated Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Platform.

13. Miscellaneous

Entire Agreement. These Terms, together with our Privacy Policy and any additional terms applicable to specific programs or features, constitute the entire agreement between you and Realign regarding the Platform.

Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of our right to do so in the future.

Assignment. You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
